The ČEZ Company has concluded a triangular agreement with Dalkia and EPH today to continue restructuring of its source portfolio in the Czech Republic. According to the previously reported plans ČEZ sells the Chvaletice power plant to EPH and it acquires the heat distribution system in North Bohemia (the Most and Litvínov agglomerations) from EPH.
This step will enable the ČEZ Company to increase production effectiveness in its North-Bohemian power plants with a concurrent production of heat and power and at the same time to reduce specific emissions of greenhouse gases. At the same time EPH and Dalkia ČR have agreed on the following deal in which EPH will acquire 5% stake and an option for further 5% of shares of Dalkia ČR. Specific financial volume of transactions will be defined by negotiations on the basis of due diligence and expertises.
Effort of ČEZ to acquire Energotrans, a subsidiary company of Pražská teplárenská, after an agreement with its shareholders, is a part of the triangular agreement. Energotrans operates the existing coal-burning power plant in Mělník, supplying heat to Prague. It is a condition of further development within the Mělník area with two obsolete power plants of ČEZ and Energotrans. The planned construction of a modern co-generation gas power plant in Mělník will secure a modern and clean source of heat for Prague without the necessity of public investments.
